This Agreement (hereinafter, the "Agreement") is entered into by and between you (hereinafter, the "User") and [Your Name/Company Name] (hereinafter, the "Licensor") concerning the licensing of the use of [Voicebank Name] (hereinafter, the "Product") and its related derivative content (including but not limited to character image, name, and illustration, collectively, the "Related Content").
Before downloading, installing, or using the Product and its Related Content, please be sure to read and fully understand all the terms of this Agreement. If you do not agree with any of the terms of this Agreement, please do not download, install, or use the Product. Your act of downloading, installing, or using the Product shall be deemed as your complete acceptance of and agreement to comply with all terms and conditions of this Agreement.
1.1 Product: Refers to the voicebank data files created and provided by the Licensor, including but not limited to the sound source, parameter settings, and all constituent parts.
1.2 Related Content: Refers to all visual and textual content related to the Product, including but not limited to character illustrations, names, backstories, and other related official promotional materials.
1.3 Non-Commercial Use: Refers to personal, educational, or non-profit uses that do not directly or indirectly generate any form of income, profit, or compensation.
1.4 Commercial Use: Refers to any use that directly or indirectly generates any form of income, profit, or compensation. This includes, but is not limited to:
- Using the Product for paid streaming media, online advertising, film and television works, games, applications, or any content that requires payment.
- Using the Product in any physical or digital products that are sold, resold, or licensed.
2.1 Scope of License: Subject to all terms of this Agreement, the Licensor grants the User a non-exclusive, non-transferable, non-sublicensable limited license to use the Product and its Related Content for Non-Commercial Use to create original music, audiovisual works, or other creative content.
2.2 Non-Commercial Use Rights: The User may freely use the Product and Related Content for Non-Commercial Use, such as:
- Publishing original music or songs created with the Product on personal blogs, social media, or non-profit websites.
- Using the Product for personal non-commercial practice, learning, or demonstrations.
- Using the Product in free games or independent creations without any profit.
2.3 Commercial Use: Any Commercial Use is strictly prohibited unless the User has separately entered into a written agreement with the Licensor and paid the corresponding licensing fees.
The User shall strictly comply with all the following restrictions and prohibitions. Any violation will result in the immediate termination of this Agreement, and the Licensor reserves the right to take legal action.
3.1 Prohibition of Redistribution: The User may not reproduce, distribute, lease, sell, transfer, lend, or provide the Product (including but not limited to its core audio source files, any part thereof, or modified copies) to any third party in any way or format.
3.2 Prohibition of Modification: The User may not reverse engineer, decode, decompile, or otherwise modify, tamper with, or damage the underlying data, core program, or audio source files of the Product in any form.
3.4 Prohibition of Malicious Use: The User may not use the Product for any content that violates the law, public order, or good morals, or is defamatory, obscene, pornographic, violent, hateful, discriminatory, or offensive in nature.
3.4 Prohibition of Impersonation: The User may not claim to be the creator or owner of the Product or Related Content, or mislead others in any way into believing that they have any formal cooperative relationship with the Licensor.
3.5 Illegal and Improper Use: The User may not use the Product as an accessory to any illegal purpose (e.g., appearing in pirated audio-visual or film and television works). Simultaneously, the use of the Product for political, religious, or pornographic purposes, and the dissemination and sharing of such content, are prohibited.
3.6 Other: The User may not use the Product for any purpose not explicitly authorized by this Agreement.
4.1 Copyright Ownership: The copyright, trademark rights, patent rights, and all other intellectual property rights of the Product and all its Related Content, whether registered or not, are the exclusive property of the Licensor.
4.2 Nature of Agreement: This Agreement is a limited license for use and does not constitute a sale or transfer of any intellectual property rights.
5.1 No Warranty: The Product and its Related Content are provided on an "AS IS" basis. The Licensor makes no express or implied warranties, including but not limited to warranties of fitness for a particular purpose, accuracy, non-infringement, or suitability for a specific purpose.
5.2 Limitation of Liability: To the maximum extent permitted by applicable law, the Licensor shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from the use or inability to use the Product, including but not limited to lost profits, data loss, or other intangible losses.
6.1 Termination: If the User violates any term of this Agreement, the Licensor has the right to terminate this Agreement immediately at any time without further notice.
6.2 Consequences of Termination: Upon termination of the Agreement, the User shall immediately cease using the Product and Related Content and delete all copies thereof.
7.1 The interpretation, validity, and performance of this Agreement shall be governed by the laws of R.O.C.(Taiwan).
8.1 Entire Agreement: This Agreement constitutes the entire agreement between the User and the Licensor regarding the licensed use of the Product and supersedes all prior oral or written agreements between the parties.
8.2 Severability: If any term of this Agreement is deemed invalid or unenforceable, the validity of the remaining terms shall not be affected.
You have read, understood, and agreed to comply with all the terms of this Agreement.
